Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Repzo Workstation ("Repzo", "we", "us") regarding your use of our products and services.

By creating an account, accessing the platform, or otherwise using the service, you accept these Terms. If you are using the service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

You must provide accurate, current, and complete information when registering an account, and keep that information up to date.

You are responsible for keeping your account credentials confidential and for any activity under your account. Notify us immediately at info@repzo.com if you suspect unauthorized access.

You must be at least 16 years old to create an account.

You agree not to use the service to: (a) violate any law or third-party right; (b) send spam or unsolicited communications; (c) upload malware or perform any action that interferes with the service's operation; (d) attempt to gain unauthorized access to other tenants' data; (e) reverse-engineer the service except as permitted by applicable law; (f) use automated means to scrape or extract data beyond reasonable use of our public APIs.

We may suspend or terminate accounts that violate these rules without prior notice.

Paid plans are billed in advance — monthly or annually depending on the plan you select. Fees are non-refundable except where required by law.

We may change pricing with at least 30 days' notice. Changes apply to renewals after the notice period; current billing cycles are unaffected.

If payment fails, we will attempt re-billing. After repeated failures we may suspend access until payment is resolved. Accounts suspended for non-payment for over 60 days may be deleted.

We offer a 7-day free trial without requiring a credit card. At the end of the trial, you must select a plan to continue using the service.

Trial accounts have full feature access but may be subject to data limits. We reserve the right to limit, modify, or end the free trial at any time.

You retain ownership of all data you upload, create, or store in Repzo ("Customer Data"). You grant us a limited license to host, store, and process Customer Data solely for the purpose of providing the service.

You are responsible for ensuring you have the rights to upload and process Customer Data, and that doing so does not violate the rights of any third party.

Upon account termination, you may export your Customer Data for 30 days, after which we will delete it as described in our Privacy Policy.

Repzo and all related software, branding, and documentation are our property and protected by copyright, trademark, and other intellectual property laws. These Terms grant you a non-exclusive, non-transferable, revocable license to use the service while you have an active account.

You may not copy, modify, distribute, sell, or lease any part of the service or attempt to extract its source code.

Each party may receive confidential information from the other (e.g. unreleased features, business plans, customer data). The receiving party agrees to protect that information using at least the same standard of care it uses for its own confidential information, and to use it only for the purposes contemplated by these Terms.

We warrant that we will provide the service with reasonable skill and care. Beyond that, the service is provided "as is" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or that any defects will be corrected. We will notify customers of significant outages and post-mortems through our status page.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, or loss of data.

Our aggregate liability under these Terms is limited to the amount you paid us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold us harmless from any third-party claim arising from (a) your Customer Data, (b) your use of the service in violation of these Terms or applicable law, or (c) your infringement of any third-party right.

You may terminate your account at any time from account settings. We may terminate or suspend accounts for material breach of these Terms with reasonable notice; for billing failures or violations of acceptable use, immediate termination is permitted.

Sections that by their nature should survive termination — including ownership, confidentiality, indemnification, and limitation of liability — will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

Disputes will be resolved in the state and federal courts located in the State of Delaware, United States, unless otherwise required by mandatory applicable law.

We may update these Terms from time to time. Material changes will be announced via email and an in-app notice at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms.
